PunchList Terms of Service

Operator: PunchList, operated by Mario Delgado, sole proprietor (update entity name if/when an LLC is formed)

Contact: punchlist@inkboxmail.com

1. Agreement

By accessing PunchList, creating an account, uploading content, paying for a report, or using our chat / email / text channels (including Inkbox), you agree to these Terms. If you do not agree, do not use PunchList.

2. What PunchList is (and is not)

PunchList helps you turn a walkthrough video into a draft punch list / annotated report.

Important:

  • Output is an AI-assisted draft for your review and editing.
  • It is a starting point, not a finished professional inspection, appraisal, engineering opinion, code compliance determination, safety certification, or warranty of any kind.
  • You are solely responsible for reviewing, editing, approving, and relying on (or not relying on) any list or report before you send it to anyone else.

We do not warrant that any item list is complete, accurate, or suitable for any job, bid, insurance claim, legal dispute, or construction decision.

3. Your content and job-site video

You retain ownership of videos and materials you upload or send us.

By uploading or sending content, you represent and warrant that:

  • you have all rights and permissions needed to share it with us and to generate a report from it;
  • if other people appear on a job site or in a recording, you have any consents required under applicable law;
  • the content does not infringe others’ rights or contain unlawful material.

You grant PunchList a limited license to host, process, transcribe, analyze, and display that content solely to provide the service (including AI drafting, editing UI, sharing links you create, and support).

You agree not to upload content you are not authorized to share. Job-site video may include third-party property, workers, or private spaces — that risk and compliance is yours.

4. Accounts, chat channels, and acceptable use

You may use the website and/or chat channels (for example texting or emailing PunchList). You agree not to misuse the service, attempt to break security, scrape, reverse engineer, or use PunchList to harass, defraud, or violate law.

We may suspend or terminate access for abuse, chargebacks we deem abusive, or legal risk.

5. Fees, payment, and refunds

Soft-ship pricing (subject to change): $19.99 intro when you send / unlock the report, unless we quote otherwise. Edits after payment may be free as described on the site or in-product.

Payment is processed by Stripe. By paying, you also agree to Stripe’s terms.

Refunds: Fees are generally non-refundable once a report is generated or unlocked, except where required by law or where we choose to issue a courtesy refund at our sole discretion. If you believe a charge was made in error, contact us promptly at punchlist@inkboxmail.com.

Chargebacks: Please contact us before filing a dispute with your bank. Filing a chargeback after receiving the report may result in suspension of access. We may contest disputes with evidence of delivery / unlock.

6. No professional advice; no job-site outcomes

PunchList does not provide legal, engineering, architectural, contracting, insurance, or safety advice.

You alone are responsible for:

  • job-site safety and compliance;
  • decisions made by contractors, clients, insurers, or others based on a list or report;
  • any work performed, bids made, or money spent after using PunchList.

We have no liability for job-site injuries, property damage, failed inspections, incomplete repairs, construction defects, missed items, or any outcome of work done (or not done) after someone uses a PunchList report.

7. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PUNCHLIST IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE SERVICE, OR THAT AI OUTPUT WILL BE ACCURATE OR COMPLETE.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, EVEN IF ADVISED OF THE POSSIBILITY.
  • OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO PUNCHLIST OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE GIVING RISE TO THE CLAIM IN THE THREE (3) MONTHS BEFORE THE CLAIM, OR (B) $100.

Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law.

This section is central to how PunchList can be offered at intro pricing. Have counsel confirm it fits California consumer / service rules for your use case.

9. Indemnity

You agree to defend and indemnify PunchList and Mario Delgado (and any future PunchList entity, officers, and agents) against claims, damages, and expenses (including reasonable attorneys’ fees) arising from: your content; your use of the service; your reports sent to third parties; your job sites; or your breach of these Terms — except to the extent caused by our willful misconduct (as determined by a final court order).

10. Privacy

We process personal data as needed to run the service (account, payment via Stripe, messages, video processing). A separate Privacy Policy may apply when published. Do not upload sensitive personal data you are not allowed to share.

11. Changes, termination

We may update these Terms by posting a new version. Continued use after the effective date means you accept the changes, except where law requires additional notice or consent. We may stop offering PunchList or change features at any time.

12. Governing law

These Terms are governed by the laws of the State of California, excluding conflict-of-law rules. Courts in California will have exclusive jurisdiction, except where law gives you a mandatory right to another forum.
